| There are number of prominent changes in the PRC regulatory framework concerning venture capital and private equity investment in 2006. Newly amended Company Law of the People’s Republic of China ("Company Law” 公司法) and Securities Law ("Securities Law" 证券法) became effective on January 1, 2006. "Notice Regarding Certain Administrative Measures on Financing and Inbound Investment by PRC Residents through Offshore Special Purpose Vehicles ("Circular 75” 75号文) issued by the State Administration of Foreign Exchange (SAFE) (国家外汇管理局关于境内居民通过境外特殊目的公司融资及返程投资外汇管理有关问题的通知) will be in full swing with the March deadline draws closer for registration of transactions closed prior to November 1, 2005. And "Provisional Administrative Measures Concerning Enterprises Invested by Venture Capital ("Measures 32”, 创业投资企业管理暂行办法) jointly promulgated by ten PRC government agencies will take effect as of March 1. This forum will focus on providing an in-depth and systemic analysis of those new rules and regulations and their impact on investment structuring of private equity and venture capital deals. We will invite senior lawyers and leading VCs to share their insights and practice. We thank DLA Piper for the generous support of this forum. |
